Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of vialdrop.com (the “Site”) and the purchase of products offered by Vial Drop Labs, LLC (“Vial Drop Labs,” “we,” “us,” or “our”).
By accessing the Site, creating an account, or purchasing a product, you agree to these Terms. If you do not agree with these Terms, you should not use the Site or purchase products through it.
1. Research Use Only
All products offered by Vial Drop Labs are sold strictly for laboratory research purposes only.
Products are not for human consumption and are not offered or intended for therapeutic, diagnostic, veterinary, household, food, drug, cosmetic, or other unauthorized uses.
Vial Drop Labs does not provide medical advice, treatment recommendations, dosing instructions, administration guidance, or instructions for human or veterinary use.
Product descriptions, research information, analytical documentation, and other materials available through the Site are provided for informational and research-reference purposes and should not be interpreted as medical or clinical advice.
2. Purchaser Representations
By purchasing products from Vial Drop Labs, you represent that:
- You are at least 21 years of age.
- You understand that the products are offered for laboratory research purposes only.
- You will not use products for human consumption or other prohibited purposes.
- You are responsible for determining whether your purchase, possession, handling, storage, and use of a product complies with applicable laws and regulations.
- You have the knowledge, facilities, procedures, and safeguards appropriate for the materials you purchase.
- Information you provide in connection with an order is accurate and complete.
Vial Drop Labs reserves the right to refuse, cancel, limit, or review an order when we reasonably believe an order may violate these Terms, applicable law, our policies, or the intended research-only nature of our products.
3. Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, quantities, concentrations, lot information, and other product information.
However, product photographs, packaging, labels, colors, and other visual representations may vary from the product received.
Certificates of Analysis or other analytical documentation may be available for certain products or lots.
Vial Drop Labs reserves the right to modify product offerings, packaging, specifications, pricing, and availability without prior notice.
4. Orders and Acceptance
Submitting an order does not necessarily constitute final acceptance of the order by Vial Drop Labs.
Orders may be subject to payment authorization, availability, fraud screening, compliance review, or other reasonable verification.
We reserve the right to reject or cancel an order prior to fulfillment, including because of product availability, pricing or listing errors, suspected fraud, payment issues, legal or regulatory considerations, or suspected misuse of our products.
If we cancel an order after payment has been successfully collected, any amount owed will be returned or otherwise resolved through the applicable payment method or payment provider, subject to their processing procedures.
5. Pricing and Payment
Prices displayed on the Site are subject to change without notice.
Applicable shipping charges, taxes, fees, or other amounts will be presented during checkout when applicable.
Payments may be processed by independent third-party payment providers. Use of those services may also be subject to the provider’s terms, policies, and privacy practices.
Customers agree to provide accurate billing and payment information and represent that they are authorized to use the payment method submitted for an order.
6. Shipping, Fulfillment, Returns and Cancellations
Order processing, shipping, damaged-shipment claims, cancellations, returns, replacements, and related matters are governed by our Fulfillment & Returns Policy, which is incorporated into these Terms by reference.
Shipping and delivery dates provided by Vial Drop Labs or a carrier are estimates unless expressly stated otherwise.
Customers are responsible for providing complete and accurate shipping information.
7. Product Handling and Responsibility
Purchasers are responsible for appropriate receipt, handling, storage, security, documentation, and disposition of products after delivery.
Products should be handled only by individuals possessing appropriate knowledge, training, facilities, and safeguards for the applicable research materials.
Vial Drop Labs is not responsible for deterioration, contamination, damage, loss, or other consequences resulting from improper storage, handling, processing, modification, use, or disposal after delivery, except to the extent responsibility cannot legally be excluded.
8. Prohibited Uses
You may not use the Site or products purchased through the Site:
- For human consumption or administration.
- For therapeutic, diagnostic, or veterinary use.
- For any unlawful purpose.
- In violation of applicable laws or regulations.
- To misrepresent Vial Drop Labs products or their intended purpose.
- To reproduce, relabel, market, or resell products in a manner that falsely represents their origin, testing, specifications, or intended use.
- To interfere with the security or operation of the Site.
- To engage in fraudulent transactions or unauthorized payment activity.
We may restrict access, cancel orders, or terminate accounts when we reasonably believe these Terms have been violated.
9. Accounts
Certain Site features may permit or require creation of a customer account.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You agree to provide accurate account information and to update information when necessary.
Please contact Vial Drop Labs promptly if you believe your account has been accessed without authorization.
10. Intellectual Property
The Site and its original content, including Vial Drop Labs names, logos, graphics, photographs, product presentation, written materials, and other proprietary content, are owned by or licensed to Vial Drop Labs and may be protected by applicable intellectual-property laws.
Nothing in these Terms grants permission to reproduce, distribute, modify, commercially exploit, or otherwise use Vial Drop Labs intellectual property except as expressly authorized by us or permitted by law.
11. Website Availability and Accuracy
We may modify, suspend, discontinue, or restrict portions of the Site at any time.
We do not guarantee that the Site will operate continuously, without interruption, or without technical errors.
We may correct typographical errors, inaccurate descriptions, pricing errors, or other Site information when identified.
12. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Site and information made available through it are provided on an “as is” and “as available” basis.
Vial Drop Labs makes no warranty that Site information will be uninterrupted, error-free, or suitable for any purpose outside the expressly stated research-use purpose of our products.
Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Vial Drop Labs will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from unauthorized or improper use, handling, storage, modification, or disposition of products or from use of the Site.
To the fullest extent permitted by applicable law, Vial Drop Labs’ total aggregate liability arising out of or relating to any product, order, transaction, or these Terms will not exceed the amount actually paid by the purchaser to Vial Drop Labs for the specific product or order giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Vial Drop Labs, LLC and its officers, members, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful use of the Site, violation of these Terms, or unauthorized use, handling, distribution, or representation of products purchased from Vial Drop Labs.
15. Privacy
Our collection and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
16. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law principles, except where applicable federal law or other law requires otherwise.
Any dispute relating to these Terms or transactions with Vial Drop Labs will be subject to applicable law and the jurisdiction of courts having lawful authority over the dispute.
17. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
18. Changes to These Terms
Vial Drop Labs may update these Terms periodically to reflect changes to our business, products, policies, technology, or legal requirements.
The effective date displayed at the top of the Terms will be updated when material revisions are made.
